These terms govern the contractual relationship between Hika Ltd. (Ellidee) and any individual or business client purchasing, renting, or using the services offered on the Ellidee website.
2. Purpose
These Terms & Conditions (T&C) and Terms of Use (ToU) define the rights and obligations between Ellidee and the client for the sale, rental, installation, maintenance, and content creation of LED display systems.
3. Products and Services
Ellidee provides the following services:
- LED Screen Rental – indoor & outdoor (P2, P2.9, P3.9–7.8, P4, etc.)
- LED Screen Sales – new, demo, or customized models
- Installation, maintenance, and on-site or remote technical support
- LED content creation and video animation design
- Training and after-sales assistance
All technical specifications (brightness, pixel pitch, power consumption, lifespan, etc.) are detailed in each product sheet and may evolve based on manufacturer updates.
4. Orders and Quotations
All orders imply full acceptance of these terms.
Quotations are valid for 30 days from the date of issue.
An order becomes binding once the deposit (30–50%) has been received.
The remaining balance must be paid before shipment or installation.
5. Prices and Payments
Prices are listed in EUR (€) or HKD (HK$) depending on the contract.
Accepted payment methods: bank transfer, credit card, or secure online payment.
In case of late payment:
- A 10% penalty of the total amount applies,
- A fixed recovery fee of €40 / HK$350 is due,
- Ellidee may suspend services or access to the equipment.
6. Delivery and Installation
Delivery times are provided for reference (average: 30–40 business days).
Ellidee cannot be held responsible for delays due to customs or maritime transport.
Installations are carried out by Ellidee or certified partners, provided that site access and electrical compliance are ensured.
7. Rental Terms
7.1 Duration and Pricing
Standard rental contracts last 36 months (3 years).
Example: €650/month for a 3×2m indoor P2.9 LED screen with quarterly maintenance included.
7.2 Quarterly Maintenance Included
Each rental includes:
- One technical inspection per quarter,
- Verification of modules, connections, and power supplies,
- Remote technical support within 48 hours.
7.3 Additional Options
- On-site emergency support (extra travel fees),
- Custom LED content creation: €150 per post or animation,
- Purchase option at the end of the contract at an agreed residual value.
7.4 Client Obligations
The client agrees to:
- Use the equipment under normal, safe, and compliant conditions,
- Insure the LED display against theft, fire, and damage,
- Refrain from reselling, moving, or subleasing the equipment without prior written consent.
8. Warranty and After-Sales Service
All LED products come with a 24-month warranty, covering manufacturing defects under normal use.
Repairs outside the warranty period will be charged at cost.
Ellidee provides remote technical assistance, and may dispatch a technician (travel expenses charged to the client).
9. Withdrawal and Termination
Professional clients are not eligible for withdrawal rights.
In case of early termination, a penalty of 30% of the remaining contract balance applies.
For unpaid invoices exceeding 30 days, Ellidee reserves the right to:
- Suspend or deactivate display access,
- Recover the equipment,
- Initiate international debt collection procedures.
10. Liability
Ellidee shall not be held liable for indirect losses (such as loss of revenue, data, or business).
The client remains solely responsible for all content displayed on rented or purchased screens.
11. Intellectual Property
All text, visuals, videos, and design elements featured on ellidee.com are the exclusive property of Hika Ltd.
Any reproduction or use without prior written authorization is strictly prohibited.
12. Data Protection
Client data is collected solely for quotation management, invoicing, and customer support.
Ellidee does not sell or transfer client data.
In compliance with GDPR (EU) and PDPO (Hong Kong), clients can request modification or deletion of their personal data at dpo@ellidee.com.
13. Governing Law and Jurisdiction
These terms are governed by the laws of Hong Kong.
In the event of an international dispute, the High Court of Hong Kong shall have exclusive jurisdiction.
For contracts executed in France, the Commercial Court of Mulhouse (France) may also be competent.
